These Terms of Service ("Terms") govern your access to and use of AgentWorks Studio, an AI employee platform operated by Blue Heron Companies LLC ("Company," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By using AgentWorks Studio, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must discontinue use of the Service immediately. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AgentWorks Studio is an AI employee platform that provides tools for creating, deploying, and managing AI agents. The Service includes agent configuration, workflow automation, third-party integrations, voice and avatar capabilities, analytics dashboards, and related features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Accounts

Free accounts. You may create a free account to build and test AI agents at no cost. Free accounts are subject to usage limits as described on our pricing page.

Paid plans. Production deployment and advanced features require a paid subscription. Plan details, pricing, and feature availability are listed on our pricing page and may be updated from time to time.

Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited communications, or malicious content
  • Violate any applicable local, state, national, or international law
  • Impersonate any person or entity, or falsely represent an affiliation
  • Attempt to reverse-engineer, decompile, or disassemble the platform
  • Interfere with or disrupt the integrity or performance of the Service
  • Access or use another user's account, data, or agents without authorization
  • Use automated means to scrape, crawl, or extract data from the platform

5. Intellectual Property

Your content. You retain all rights to your agent configurations, custom workflows, conversation data, and any content you create or upload to the Service ("Your Content"). You grant us a limited license to use Your Content solely for the purpose of providing the Service.

Our platform. The AgentWorks Studio platform, including its software, design, documentation, branding, and underlying technology, is the exclusive property of Blue Heron Companies LLC and is protected by intellectual property laws. No rights to the platform are granted to you except as expressly set forth in these Terms.

6. Payment

  • Billing cycle. Paid plans are billed monthly in advance. Payment is processed via Stripe at the beginning of each billing cycle.
  • Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • No partial refunds. We do not provide refunds for partial billing periods. You will retain access to paid features through the end of your current billing cycle.

7. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. In no event shall Blue Heron Companies LLC's total liability to you for all claims arising out of or relating to the Service exceed the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

8. Termination

Either party may terminate these Terms with thirty (30) days written notice. Upon termination:

  • Your access to the Service will be disabled at the end of the notice period
  • Your data will remain available for export for sixty (60) days after the effective date of termination
  • After the 60-day export window, we will delete your data in accordance with our data retention policy
  • Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and governing law clauses

We reserve the right to suspend or terminate your account immediately, without notice, for violations of these Terms or for conduct that we reasonably believe may cause harm to the Service, our users, or third parties.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Pinellas County, Florida.
